Terms of Service Clear, Fair Agreements
These terms govern all engagements with Código Maestro. We keep them straightforward so you always know where you stand.

Agreement
By engaging Código Maestro Technologies Pvt. Ltd., you agree to the following terms. These terms are supplemented by any Statement of Work, NDA, or specific contract signed between parties — in case of conflict, the specific contract takes precedence.
Scope of Engagement
- All services are delivered under a scope-based model defined in a Statement of Work (SoW) agreed before any work begins.
- Requirements outside the agreed SoW are handled as change requests with revised timelines and pricing provided in writing.
- Código Maestro reserves the right to decline scope changes that are technically infeasible or outside our capability.
- Emergency or fast-track requests may be accommodated at a priority rate; this will be communicated upfront.
Payment & Milestones
- Projects are structured into milestones. Payment for each milestone is due upon mutual sign-off.
- An advance payment (typically 25–50%) is required before work commences on any engagement.
- Invoices are due within 7 days of issue unless otherwise specified in the SoW.
- Late payments beyond 14 days may result in a pause of deliverables until outstanding balances are settled.
- All prices are in INR unless agreed otherwise. GST is applied per applicable law.
Intellectual Property
- All intellectual property (code, designs, documents) created during an engagement transfers to the client upon receipt of full payment.
- Prior to full payment, all deliverables remain the property of Código Maestro.
- Open-source components used in deliverables retain their original licenses; we will document these in the project handover.
- We retain the right to display the project as a portfolio reference unless a confidentiality clause in the SoW prohibits this.
Acceptable Use
- Our services may not be used for illegal, harmful, or unethical purposes.
- Clients are responsible for ensuring that all content, data, and instructions provided to us are lawfully obtained.
- We reserve the right to terminate an engagement if we become aware of illegal or harmful use.
- Any violation of these terms may result in immediate suspension with no refund of milestone payments already made.
Limitation of Liability
- Código Maestro's liability is limited to the total fees paid for the specific project milestone in dispute.
- We are not liable for indirect, incidental, or consequential damages including loss of revenue or data.
- We provide reasonable warranties for our deliverables for 30 days post-delivery; bug fixes within scope are free.
- Third-party service outages (cloud providers, APIs) are outside our liability scope.
Termination
- Either party may terminate the engagement with 14 days written notice.
- Upon termination, all completed and approved milestones are payable immediately.
- Work-in-progress at the time of termination is invoiced on a pro-rata basis.
- Código Maestro will provide all deliverables completed up to the termination date within 7 business days.
Governing Law & Disputes
These terms are governed by the laws of India. Any disputes will first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes will be referred to arbitration in Gorakhpur, Uttar Pradesh, under the Arbitration and Conciliation Act, 1996.
